Terms of Service

Effective 2021-09-13 · Last updated 2025-11-04

These terms are the agreement between Frontier Tech Solutions LLC (“Verifior”, “we”) and the business buying services (“you”). An order form or statement of work signed by both sides is part of the agreement and takes precedence where it differs. By signing an order or accepting services you accept these terms.

1. Services and orders

We provide the services described on this site and in your order: managed plans, add-ons, projects and hourly work. Plan scope is defined by the user count on the order, trued up monthly from your directory, and by the add-ons listed. Project scope is defined in the statement of work. Work outside an order is quoted in advance at the published hourly rates.

2. Term and renewal

Managed plans run for twelve months from the order date and renew for successive twelve-month terms unless either side gives 60 days' written notice. Prices do not change on renewal without 60 days' notice. Projects end on delivery of the deliverables in the statement of work and the handover.

3. Fees and payment

Plans are invoiced monthly in advance on the first of the month, or annually in advance at the discounted rate, payable by check or ACH, net 15. Card payments carry a 3% processing fee. Projects are invoiced 50% at kickoff and 50% on delivery, net 15. Hardware and third-party licenses are invoiced at cost plus 8% and at the publisher's price respectively, when ordered. Balances more than 15 days past due accrue interest at 1.5% per month or the maximum the law allows, whichever is less, and we may suspend non-security services after ten days' written notice. You pay our reasonable costs of collection. Fees exclude taxes, which are added where they apply.

4. Your authorization and responsibilities

You confirm that you own or are authorized to have us manage, monitor and act on every system, account, network and application in scope, and that you have obtained any consents your employees, patients, clients or regulators require. You will give us the access described in the onboarding runbook, keep contacts current, approve changes we put to you within a reasonable time, and tell us promptly about changes that affect coverage: new sites, new applications, mergers, departures of named contacts. You remain responsible for the decisions you make on our recommendations, for your own staff's conduct, and for software licensing terms you accept.

5. Containment playbook and changes

The containment playbook signed at onboarding sets what we may do without asking (for example, isolate a device or revoke a session) and what needs your approval (for example, disable a named executive's account or take a server offline). We act in good faith under the playbook and are not liable for the business impact of an action the playbook authorizes. Planned changes are scheduled in the published maintenance windows or at times you agree to; emergency changes to contain a security incident may be made at any time under the playbook.

6. Service levels

Response times by priority are published on the how it works page and in your order. Actual performance is reported monthly. If we miss the priority-one response target twice in a calendar month, you receive a credit of 10% of that month's plan fee, applied to the next invoice, as your sole remedy for the miss. Service levels depend on the access and tooling described in the onboarding runbook being in place and on third-party services (internet providers, cloud platforms, software vendors) being available.

7. No guarantee of security or uptime

Managed services, monitoring, backup and advice reduce risk; they do not eliminate it. We do not guarantee that we will detect or prevent every intrusion, that every backup will be restorable in every circumstance, that a compliance program will produce a particular audit or regulatory result, or that third-party services will be available. Reports describe what we found and did in the period covered.

8. Confidentiality and data

Each side keeps the other's confidential information confidential and uses it only for the agreement, for five years after the agreement ends and indefinitely for security findings, credentials and trade secrets. We process client data as described on the trust page and in our privacy policy, and will sign a business associate agreement or data processing agreement where your regulation requires one. We may use aggregated, de-identified operational data to improve our services.

9. Intellectual property and your environment

Documentation, configurations, reports, policies and other deliverables are yours once paid for. Tenants, domains, licenses and accounts are registered in your name. Our runbooks, templates, playbooks and tools remain ours, and we may reuse them for other clients provided your confidential information is not disclosed.

10. Hardware and third-party products

Hardware and software we procure for you carry the manufacturer's or publisher's warranty and license terms, which we pass through; we do not add a warranty of our own. Returns follow the vendor's policy. Title passes on payment.

11. Liability

Each side's total liability under the agreement is limited to the fees paid or payable in the twelve months before the claim, except for breach of confidentiality, a side's indemnity obligations, gross negligence or willful misconduct, and your obligation to pay fees. Neither side is liable to the other for indirect, consequential, special or lost-profit damages, including loss of data beyond the restoration from the most recent successful backup. We will defend and indemnify you against third-party claims that our services infringe intellectual property; you will defend and indemnify us against third-party claims arising from your systems, data, staff or your authorization of our work. We carry technology errors and omissions and cyber liability insurance and will provide certificates on request.

12. Termination and offboarding

Either side may terminate for material breach not cured within 30 days of written notice. You may terminate a managed plan for convenience at the end of a term on 60 days' notice. On termination we complete the offboarding described on the trust page (credential rotation and handover, removal of our access, export of documentation, return or deletion of backups), provide reasonable transition assistance at the hourly rates, and invoice work performed to the termination date. Offboarding is included when the agreement ends at the close of a term.

13. General

New York law governs this agreement; the state and federal courts in Kings County, New York have jurisdiction. Neither side may assign the agreement without consent, except to a successor in a merger or sale. Notices go to the email on the order and to sales@verifior.com. If a term is unenforceable, the rest stands. We may update these terms with 30 days' notice on this page and by email to client contacts; orders placed after the date are under the new terms.
